Terms of Service

1. Acceptance of Terms
By creating an account, accessing, or using nodepick.ai(“Nodepick”, “we”, “us”, or “our”), including our web application, APIs, Command-Line Interface (CLI), SDKs, and underlying compute infrastructure, you agree to be bound by these Terms of Service. If you are entering into these Terms on behalf of an organization or entity, you represent that you have the authority to bind that organization.
2. Description of Services
Nodepick provides developer-focused cloud compute infrastructure, including:
- On-demand Linux Cloud VPS (Virtual Private Server) nodes with dedicated kernel environments.
- Interactive SSH root access and programmatic control via REST APIs, CLI, and Python SDKs.
- AI agent sandboxes, Model Context Protocol (MCP) integrations, and code execution environments.
- Dedicated routable public IPv4 addresses and custom port pool assignments.
- Per-second usage metering and live billing infrastructure.
3.Account Registration & Security
To access compute resources, you must register an account with valid credentials. You are responsible for maintaining the confidentiality of your authentication tokens, passwords, and API keys. You are solely responsible for all activities and workloads running under your account credentials. You must notify us immediately at hello@nodepick.ai if you suspect unauthorized access.
4. Acceptable Use Policy (AUP)
You agree not to misuse Nodepick compute infrastructure. Prohibited activities include, but are not limited to:
- Malicious Activity: Distributing viruses, malware, ransomware, botnets, or hosting phishing sites.
- Network Abuse: Launching or participating in Denial of Service (DoS/DDoS) attacks, port scanning, or unauthorized network probing.
- Unauthorized Mining: Running unauthorized proof-of-work cryptocurrency mining that disrupts cluster stability.
- Unsolicited Communications: Sending bulk spam emails or operating open relays.
- Illegal Content: Hosting, storing, or transmitting content that violates applicable law, intellectual property rights, or privacy regulations.
We reserve the right to immediately suspend or terminate instances and accounts that violate this Acceptable Use Policy without liability or prior notice.
5.Metering, Invoicing & Billing
Per-Second Metering: Compute instances (vCPU, RAM, NVMe storage, and public IPv4s) are metered strictly by the second while in an active state.
Settlement & Invoicing: Unbilled balances for closed workloads accrue and are automatically charged to your payment method when reaching threshold amounts (e.g. $1.00) or at the end of each billing cycle.
Payment Processing: All payment transactions are securely processed through Stripe. We do not store raw credit card details on our servers. You agree to maintain a valid payment method on file for automated usage settlement.
Taxes: Fees are exclusive of applicable federal, state, local, or value-added taxes (VAT), which will be billed where required by law.
6.Customer Data & Data Destruction
You retain full ownership and intellectual property rights to all code, applications, scripts, configurations, and data deployed within your Nodepick instances.
Ephemeral Workloads & Backups: When you delete a Linux node, all associated ephemeral disk storage is permanently and irreversibly destroyed. Nodepick does not maintain backups of customer virtual machine disks after deletion. You are solely responsible for maintaining backups of your critical data.
7.AI Agent & Automated Code Execution
When utilizing Nodepick infrastructure for automated code execution, LLM tools, or autonomous AI agents:
- You are responsible for all side effects, network traffic, and compute resources consumed by automated agents running with your authorization.
- We do not inspect or use customer compute workloads, scripts, or agent execution data to train public artificial intelligence models.
8.Service Availability & Disclaimer of Warranties
The Services are provided on an “AS IS” and “AS AVAILABLE” basis. Nodepick makes no warranties, express or implied, regarding uptime, merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that access to compute nodes will be uninterrupted or completely error-free.
9. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall Nodepick, its directors, employees, or partners be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business interruption arising from your use of the compute services.
10. Termination
You may terminate your account at any time by stopping all running instances and closing your account in the dashboard. We may terminate or suspend your access immediately in the event of a material breach of these Terms, non-payment, or security threats.
